Forming a Wyoming LLC as a non-resident - the complete 2026 walkthrough

Verified August 2026 · 8 min read · Fees confirmed against the Wyoming Secretary of State fee schedule

Wyoming is the most popular state for founders who live outside the US, and the mechanics are refreshingly simple: $100 to file, instant online approval, a $60 annual report, no state income tax, and your name stays off the public record. Here is the entire process, including the parts formation services hope you won't do yourself.

Step 1 - Check your name

Search the Wyoming Secretary of State's business database for your desired name. It must be distinguishable from existing entities and end with "LLC", "L.L.C.", or "Limited Liability Company". Don't overthink this - the LLC's legal name doesn't have to be your brand name.

Step 2 - Hire a registered agent (required)

Every Wyoming LLC must have a registered agent with a physical Wyoming street address, available during business hours to receive legal documents. As a non-resident you cannot be your own agent, so you'll hire a commercial one - typically $100-125/yr. This is the one genuinely unavoidable service purchase in the whole process. See our service comparison.

Step 3 - File the Articles of Organization ($100)

File online through the Wyoming Secretary of State. You'll provide the LLC name, registered agent details, a mailing address (can be outside the US), and an organizer signature (that's you, or your service). Online filings are approved immediately - you can genuinely have a US company before you finish your coffee. Keep the stamped Articles PDF; banks will ask for it.

Step 4 - Get your EIN from the IRS (free)

The Employer Identification Number is your company's federal tax ID, and you need it for banking, Stripe, and taxes. Non-residents without an SSN can't use the IRS online tool, but the fax/phone route works fine and costs nothing - full details in our EIN without an SSN guide. Formation services charge $50-250 for this; paying is a convenience, not a requirement.

Step 5 - Write an operating agreement

Wyoming doesn't require one, but banks often ask for it and it's your only documented proof of how the company is governed. For a single-member LLC a simple 3-4 page agreement naming you as sole member is enough; every formation service includes a template, and free templates are widely available.

Step 6 - Open a business bank account

With your stamped Articles, EIN letter (CP 575), operating agreement, and passport you can apply to non-resident-friendly fintechs remotely. Options and their quirks in the banking guide.

Step 7 - Stay compliant (the part that actually matters)

Total realistic cost: ~$225 in year one filing yourself with a hired agent ($100 state + $125 agent), plus accountant costs for Form 5472. Try the calculator with your own choices.
